National Oilwell Varco Announces Two Acquisitions

HOUSTON--(BUSINESS WIRE)-- National Oilwell Varco, Inc. announced today that it has acquired two private businesses serving the international oil and gas industry, for total consideration of approximately $160 million in cash.

South Seas Inspection (S) Pte. Ltd. is a Singapore based inspection, repair and maintenance provider to the oil and gas industry with approximately 140 employees and operations in seven countries, including Singapore, Brazil and Azerbaijan. Its acquisition will complement National Oilwell Varco’s Petroleum Services and Supplies segment by expanding regional coverage and adding new derrick inspection and assembly services.

Hochang Machinery Industries Co., Ltd. is a manufacturing and fabrication business with facilities in Ulsan and Geoje, South Korea. Hochang has been a high-quality supplier of equipment fabrication services to National Oilwell Varco, Inc. and Asian drilling rig builders for several years, employing approximately 600 people. Its acquisition is expected to strengthen National Oilwell Varco’s fabrication capabilities within its Rig Technology segment, which is predominantly engaged in providing drilling and well remediation equipment to the oil and gas industry worldwide.

NOV Tuboscope Acquires South Seas Inspection

We are pleased to announce on November 4, 2009 NOV Tuboscope acquired South Seas Inspection (S) Pte Ltd and its affiliate South Seas International Ltd. in Brazil.

SSI is a privately held company that was established in 1993 and headquartered in Singapore. Their services include Marine Services, NDT Services, OCTG – Tubular Inspection, and Wind Turbine Services. In addition, SSI has a proven track record with extensive experience in Derrick Building and Installation, with ongoing Lift Gear Inspection, Dropped Object Prevention Scheme, Derrick Inspection, Critical Load Path Inspection, Non Destructive Testing business utilizing multi-tasking Rope Access & LEEA qualified inspectors. SSI is affiliated and certified with leading authorities such as IRATA, ABS, Lloyds, DNV, LEEA, IADC, and NATE. SSI has operations in Baku, Azerbaijan, Macae RJ, Brazil and offices in Vietnam, and Qatar. The company employs 140 permanent people.

The operation will be managed by Mike Slorach and will continue to be based out of Singapore. Mike will report to John Walling, Vice President Far East Region for NOV Tuboscope.

The acquisition will add multiple new services to the inspection services NOV Tuboscope already offers and grow our business with drilling contractors leveraging our global footprint. We are pleased to welcome SSI into NOV and look forward to their continued success.
