Confidentiality Agreement
This agreement applies to ALL South Seas Inspection (S) Pte Ltd ("SSI") Customer Reporting Page website users. In order to gain access to the Client pages as a user, you, (the "End User"), agree to the following:
1. The End-user is a customer of SSI and wishes to obtain direct access to the SSI Client pages. These SSI Reports contain confidential information ("Confidential Information") of SSI including financial and other business information, which the End-user agrees to keep confidential according to the terms of this Agreement. The End-user may use the information from the Client pages solely for the purpose of the business relationship between the End-user and SSI. Title to the information will remain with SSI.
2. The End-user will use the same degree of care, but no less than a reasonable degree of care, as the End-user uses with respect to its own similar information to protect the Confidential Information and to prevent (a) any use of Confidential Information not authorized in this Agreement, (b) dissemination of Confidential Information to any employee of End-user without a need to know, (c) communication of Confidential Information to any third party or (d) publication of Confidential Information.
3. The End-user acknowledges that damages for improper disclosure of Confidential Information may be irreparable; therefore, SSI is entitled to seek equitable relief, including injunction and preliminary injunction, in addition to all other remedies.
4. This Agreement imposes no obligation upon End-user with respect to Confidential Information which (a) was known to the End-user before receipt from SSI; (b) is or becomes part of the public domain through no fault of the End-user; (c) is rightfully received by the End-user from a third party without a duty of confidentiality; (d) is disclosed by SSI to a third party without a duty of confidentiality on the third party; (e) is independently developed by the End-user without a breach of this Agreement; or (f) is disclosed by the End-user with SSI's prior written approval.
5. An End-user's duty to protect Confidential Information expires three (3) years from the date of termination of End-user's access to the Customer Client pages. An End-user, upon SSI's written request, will promptly return all Confidential Information received from SSI, together with all copies or analysis, or certify in writing that all such Confidential Information and copies or analysis thereof have been destroyed.
6. End-user does not acquire any intellectual property rights under this Agreement except the limited rights necessary to carry out the purposes as specifically set forth in this Agreement. This Agreement will not be assignable or transferable without the prior written consent of SSI.
7. THIS AGREEMENT IS MADE UNDER, AND WILL BE CONSTRUED ACCORDING TO, THE LAWS OF SINGAPORE.
